Terms of Service

1. Acceptance of Terms

By accessing or using ProtoWall ("Service"), operated by Homotechnica LLC, a Wyoming limited liability company, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

ProtoWall is a prototype access-control platform that provides authentication, legal agreement management, and reverse-proxy functionality. Builders create projects, invite reviewers, and require NDA acceptance before granting access to prototypes through a managed proxy.

3. Accounts

You must provide a valid email address to create an account. You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use. We authenticate users via magic links — no passwords are stored.

4. Roles and Responsibilities

Builders

Builders are responsible for the content of their prototypes, the NDA text they publish, and the invitations they send. ProtoWall provides the infrastructure for access control but does not review or endorse the content of prototypes or agreements.

Invitees

Invitees access prototypes through the Service after accepting the project NDA. By accepting an NDA through ProtoWall, the invitee enters into a legally binding agreement with the builder, not with Homotechnica LLC.

6. Billing and Subscriptions

Paid plans are billed monthly or annually via Stripe. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Downgrading to a lower tier preserves your data but enforces the new plan's limits.

If payment fails, we will attempt to charge the payment method on file for up to 7 days. After that, the subscription is canceled and the account is downgraded to the Free tier.

7. Legal Documents and Consent

ProtoWall facilitates the presentation and acceptance of NDAs and Terms of Service on behalf of builders. We store consent records (signature name, timestamp, IP address, document hash) as evidence of acceptance. Homotechnica LLC is not a party to NDAs between builders and invitees and does not provide legal advice.

8. Intellectual Property

You retain all rights to your content. By using the Service, you grant Homotechnica LLC a limited license to proxy, transmit, and cache your content as necessary to operate the Service. We do not claim ownership of your prototypes, NDA text, or any content you upload.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process data as described therein.

10. Termination

You may delete your account at any time. We may suspend or terminate your account for violation of these Terms, with or without notice. Upon termination, your data will be deleted within 30 days, except where retention is required by law or for legitimate business purposes (e.g., audit logs).

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the content of proxied prototypes or the enforceability of NDAs created through the Service.

12. Limitation of Liability

To the maximum extent permitted by law, Homotechnica LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or through the platform ToS acceptance flow. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved in the courts of Wyoming.
